1. Acceptance of These Terms
These Terms of Service (“Terms”) form an agreement between you and Shopfluence (“Shopfluence”, “we”, “us”, or “our”) concerning your access to and use of the Shopfluence website, Shopify application, and related services (the “Services”). By accessing or using the Services, you agree to these Terms.
2. Eligibility and Accounts
You must have authority to act for the business or organization using the Services. You are responsible for maintaining the security of your account and for activities performed through your account. You must provide information that is accurate and keep it reasonably current.
3. Shopify Integration
Shopfluence is intended to integrate with Shopify. Your use of Shopify remains subject to Shopify’s terms, policies, and platform rules. You authorize Shopfluence to access and process Shopify data only to the extent necessary to provide the Services and permitted by the app permissions you approve.
4. Acceptable Use
You may use the Services only for lawful business purposes and in accordance with these Terms. You must not:
- use the Services to violate applicable law or the rights of others;
- upload or display content you do not have the right to use;
- attempt to gain unauthorized access to the Services, another account, or another system;
- interfere with the operation or security of the Services;
- use the Services to distribute malware, harmful code, spam, or deceptive content;
- reverse engineer or attempt to extract source code except where applicable law expressly permits it; or
- use the Services to circumvent Shopify platform controls or requirements.
5. Merchant and Creator Content
You retain ownership of content and data you submit or connect to the Services. You grant Shopfluence a limited, non-exclusive license to host, reproduce, transmit, display, process, and otherwise use that content as reasonably necessary to operate and improve the Services for you.
You are responsible for ensuring that you have the rights, permissions, and consents necessary for content you upload, import, embed, or display, including creator content, product information, trademarks, images, videos, and customer-related information.
6. Plans, Billing, and Taxes
Shopfluence may offer free and paid plans. Current plan features and prices are described on our Pricing page and may change prospectively. Where Shopify processes app charges, Shopify’s billing systems and applicable Shopify terms also apply.
You are responsible for applicable taxes and for maintaining a valid billing method where required. See our Refund & Cancellation Policy for cancellation and refund rules.
7. Shopfluence Intellectual Property
The Services, software, visual design, trademarks, logos, documentation, and other materials provided by Shopfluence are owned by or licensed to Shopfluence and are protected by applicable intellectual property laws. Except for the limited right to use the Services under these Terms, no ownership rights are transferred to you.
8. Third-Party Services
The Services may connect to or contain links to third-party services, including Shopify, social platforms, analytics providers, hosting providers, and video platforms such as YouTube. Third-party services are governed by their own terms and policies. Shopfluence is not responsible for third-party services it does not control.
9. Availability and Changes
We aim to keep the Services reliable, but we do not guarantee that they will be uninterrupted, error-free, or available at all times. We may modify, suspend, or discontinue features where reasonably necessary for security, legal, technical, or business reasons.
10. Suspension and Termination
You may stop using the Services at any time. We may suspend or terminate access if reasonably necessary to protect the Services, comply with law, address security or abuse, or where you materially breach these Terms. Where appropriate, we will provide notice and an opportunity to resolve the issue.
11. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an “as available” and “as is” basis. Shopfluence does not guarantee that the Services will produce a particular level of sales, revenue, engagement, conversion, or business outcome.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Shopfluence will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data arising from your use of the Services. Nothing in these Terms excludes liability that cannot lawfully be excluded.
13. Indemnification
To the extent permitted by applicable law, you agree to defend and hold Shopfluence harmless from claims arising from your unlawful use of the Services, your breach of these Terms, or your infringement of another party’s rights.
14. Governing Law
These Terms will be governed by the laws applicable to the Shopfluence operating entity, without regard to conflict-of-law principles, subject to any mandatory rights you have under the laws of your place of residence.
15. Changes to These Terms
We may update these Terms from time to time. The updated Terms will be posted on this page with a revised “Last updated” date. Continued use of the Services after an update takes effect constitutes acceptance to the extent permitted by law.
